Important — please read carefully before using Project Alpha. By creating an account, tapping "I agree", or using any part of this application or website, you agree to be bound by these terms and conditions in full. If you do not agree, you must not access or use Project Alpha.
1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Agreement" means these Terms and Conditions together with our Privacy Policy, which is incorporated by reference.
- "App" means the Project Alpha mobile application available on iOS and Android.
- "Company", "we", "us", or "our" means KNH Group Ltd, a company incorporated in New Zealand.
- "Content" means all text, data, reports, analysis, scores, estimates, graphics, and other material generated by or displayed within the App.
- "Feasibility Report" means the AI-generated property development analysis produced by the App in response to a user-submitted property address.
- "General User" means a registered user who accesses the App for personal property research purposes.
- "Sales Agent" means a registered user who is a licensed real estate agent or representative of a real estate agency.
- "Service Provider" means a registered user offering professional services related to property development, including but not limited to builders, architects, engineers, project managers, and consultants.
- "Subscription" means a paid plan providing access to premium features of the App.
- "User", "you", or "your" means any person who accesses or uses the App or Site, regardless of account type.
- "Site" means www.projectalpha.app and any associated web pages.
2. Acceptance of Terms and Eligibility
2.1 Binding agreement
By accessing or using Project Alpha in any way — including browsing the Site, creating an account, submitting a property for analysis, or communicating with other users — you confirm that you have read, understood, and agree to be bound by this Agreement. This Agreement constitutes a legally binding contract between you and KNH Group Ltd.
2.2 No access without agreement
If you do not agree to any part of this Agreement, you are not permitted to use the App or Site. You must immediately cease all use and, if you have created an account, you may close it at any time via the Profile tab.
2.3 Age requirement
You must be at least 18 years of age to use Project Alpha. By using the App, you represent and warrant that you are 18 or older. We reserve the right to terminate any account we reasonably believe belongs to a person under 18 without notice.
2.4 Authority to bind
If you are registering as a Sales Agent or Service Provider on behalf of a business or agency, you represent that you have the authority to bind that entity to this Agreement.
2.5 Modifications
We reserve the right to modify this Agreement at any time. We will notify you of material changes via in-app notification or email at least 14 days before changes take effect. Your continued use of the App after the effective date of any modification constitutes your acceptance of the updated terms. If you do not accept the modified terms, you must stop using the App.
3. Account Registration and Security
3.1 Accurate information
You agree to provide accurate, current, and complete information when creating your account and to keep that information updated. Providing false, misleading, or incomplete information is grounds for immediate account suspension or termination.
3.2 Account security
You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at admin@projectalpha.app if you suspect any unauthorised access to your account.
3.3 One account per person
Each individual may maintain only one personal account. Creating multiple accounts to circumvent usage limits, subscription requirements, or any restrictions imposed under this Agreement is prohibited.
3.4 Account types
You must select the account type that accurately reflects your use of the App. Misrepresenting your account type — for example, registering as a Service Provider to access features not available to General Users — is a breach of this Agreement and may result in immediate account termination.
3.5 Non-transferability
Your account is personal to you and may not be transferred, sold, or shared with any other person.
4. Nature of the Service — Important Limitations
The feasibility reports, scores, cost estimates, ROI projections, and all other outputs generated by Project Alpha are for indicative informational purposes only. They do not constitute financial advice, legal advice, planning advice, valuation, or any other form of professional advice.
4.1 AI-generated content
Project Alpha uses artificial intelligence, including large language models, to analyse publicly available property data and generate reports. AI-generated content may contain errors, omissions, or inaccuracies. The AI has no knowledge of factors not present in the data sources it accesses, including but not limited to: site-specific geotechnical conditions, underground services, encumbrances, easements, covenants, or off-market information.
4.2 Not a substitute for professional advice
You must not make any investment, development, financial, or legal decision based solely on information provided by Project Alpha. Before committing to any property transaction or development project, you should obtain independent advice from qualified professionals including but not limited to: a registered valuer, licensed real estate agent, resource management consultant, solicitor, quantity surveyor, structural engineer, and financial adviser.
4.3 Data accuracy
Project Alpha retrieves data from third-party public sources including Land Information New Zealand (LINZ), Auckland Council, and real estate listing platforms. We do not guarantee the accuracy, completeness, or currency of any data retrieved from these sources. Data may be outdated, incomplete, or unavailable for certain properties.
4.4 No guarantee of results
Property development is subject to numerous risks including but not limited to market fluctuations, changes in planning rules, construction cost escalation, consent delays, and economic conditions. Any projected returns or development outcomes indicated in a Feasibility Report are hypothetical and may not reflect actual results. Past performance of comparable properties is not a reliable indicator of future results.
4.5 NZ jurisdiction only
Project Alpha is designed for New Zealand properties only. The App is not designed or validated for use with properties outside New Zealand. Any analysis of non-NZ properties is outside the scope of our service, and we accept no liability for any such use.
5. Subscriptions, Billing, and Refunds
5.1 Free tier
General Users on the free tier may generate up to three (3) Feasibility Reports per calendar month at no charge. Usage limits reset on the first day of each calendar month.
5.2 Pro subscription
A paid Pro subscription provides unlimited Feasibility Reports and access to premium features. Subscription pricing is displayed in the App at the time of purchase. All prices are in New Zealand Dollars (NZD) and inclusive of GST where applicable.
5.3 Billing and payment
Subscriptions purchased through the App on iOS are processed by Apple and subject to Apple's payment terms. Subscriptions purchased on Android are processed by Google and subject to Google's payment terms. Web-based subscriptions are processed by Stripe. We do not store payment card information.
5.4 Automatic renewal
Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. You authorise us (or the applicable platform) to charge your payment method on a recurring basis. You are responsible for ensuring your payment details remain valid.
5.5 Cancellation
You may cancel your subscription at any time through your device's subscription management settings (App Store or Google Play) or via the billing portal accessible from your Profile page. Cancellation takes effect at the end of the current billing period. You retain access to Pro features until that date.
5.6 No refunds
All subscription fees are non-refundable except where required by applicable New Zealand consumer law. We do not provide refunds for partial billing periods, unused reports, or dissatisfaction with AI-generated content. If you believe you have been charged in error, contact us at admin@projectalpha.app within 14 days of the charge.
5.7 Price changes
We reserve the right to change subscription pricing at any time. We will notify you of price changes at least 30 days in advance. Your continued subscription after the price change date constitutes acceptance of the new price.
5.8 Taxes
You are responsible for any taxes applicable to your subscription in your jurisdiction beyond NZ GST, which is included in displayed prices.
6. Acceptable Use Policy
6.1 Permitted use
You may use Project Alpha solely for lawful purposes and in accordance with this Agreement. General Users may use the App for personal property research. Sales Agents and Service Providers may use the App in connection with their professional activities as described at registration.
6.2 Prohibited conduct
You must not, and must not attempt to:
- Use the App in any way that violates any applicable New Zealand or international law or regulation
- Use automated scripts, bots, scrapers, or any non-human means to access, query, or extract data from the App
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App
- Use the App to generate reports for the purpose of reselling, licensing, or distributing those reports to third parties for commercial gain without our prior written consent
- Introduce any malware, virus, trojan, or other malicious code into the App or its infrastructure
- Attempt to gain unauthorised access to any part of the App, its servers, or any database connected to the App
- Misrepresent the source of any Feasibility Report or present it as independent professional advice
- Use another user's account or impersonate any person or entity
- Use the App to harass, threaten, or harm any other user
- Use the messaging or connection features to send unsolicited commercial communications (spam)
- Circumvent, disable, or interfere with any security features or access controls
- Use the App to engage in any form of fraudulent activity, including but not limited to falsifying property data
6.3 Sales Agent obligations
Sales Agents must hold a current licence under the Real Estate Agents Act 2008 (NZ) or equivalent. You warrant that all information you provide about yourself and your agency is accurate. You must not use the App to contact users who have not consented to receive communications from you.
6.4 Service Provider obligations
Service Providers must hold all licences, registrations, and insurances required by law to offer their stated services. You warrant that your profile information is accurate and not misleading. KNH Group Ltd does not endorse or verify any Service Provider's credentials and accepts no liability for the services they provide.
6.5 Consequences of breach
We reserve the right to immediately suspend or permanently terminate your account, without notice or refund, if we determine in our sole discretion that you have breached any provision of this section or any other part of this Agreement. We may also report breaches to relevant regulatory authorities.
7. Intellectual Property
7.1 Our intellectual property
All intellectual property rights in Project Alpha — including but not limited to the App, Site, software, AI models, scoring algorithms, brand, logo, design, and Content generated by our systems — are owned by or licensed to KNH Group Ltd. Nothing in this Agreement transfers any intellectual property rights to you.
7.2 Limited licence to you
Subject to your compliance with this Agreement and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the App for your personal or professional purposes as permitted by your account type. This licence does not include any right to reproduce, distribute, modify, or create derivative works from any part of the App or its Content.
7.3 Feasibility Reports
Feasibility Reports generated for you are provided for your personal use only. You may not reproduce, publish, distribute, sell, or otherwise commercially exploit any Feasibility Report without our prior written consent. You may share a Feasibility Report with your professional advisers in connection with a specific property transaction.
7.4 Feedback
If you provide us with any feedback, suggestions, or ideas relating to the App, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, incorporate, and commercialise that feedback without any obligation to you.
7.5 Third-party data
Property data retrieved from LINZ, Auckland Council, real estate platforms, and other public sources remains subject to the intellectual property rights and terms of those third parties. We do not claim ownership of that data.
8. User Content and Communications
8.1 Ownership
You retain ownership of any content you submit to the App, including messages sent through the in-app messaging system. By submitting content, you grant KNH Group Ltd a non-exclusive, royalty-free licence to use, store, and display that content solely for the purpose of operating and improving the App.
8.2 Content standards
You are solely responsible for all content you submit or transmit through the App. You must not submit content that is unlawful, defamatory, fraudulent, misleading, harassing, or that infringes any third-party rights.
8.3 Messaging between users
In-app messaging between General Users and Service Providers or Sales Agents is facilitated by Project Alpha but is not monitored in real time. We reserve the right to review, remove, or block messages that we believe violate this Agreement or applicable law. KNH Group Ltd is not a party to any transaction or agreement entered into between users via the messaging system.
8.4 No agency or endorsement
The connection of a General User with a Service Provider or Sales Agent through the App does not constitute an endorsement, recommendation, or guarantee by KNH Group Ltd of that Service Provider or Sales Agent. You engage with any Service Provider or Sales Agent entirely at your own risk.
9. Third-Party Services and Links
Project Alpha integrates with and relies on third-party services including Anthropic (AI), Supabase (database), Stripe (payments), Apple App Store, Google Play, RevenueCat, LINZ, Auckland Council GIS, and real estate listing platforms. Your use of these services is governed by their respective terms and privacy policies. KNH Group Ltd is not responsible for the availability, accuracy, or conduct of any third-party service.
The agent call feature retrieves publicly listed contact information from real estate platforms. We do not control the accuracy of this information and accept no liability for misdirected communications. This feature must only be used to contact agents in connection with genuine property enquiries.
10. Disclaimers and Exclusions
To the maximum extent permitted by New Zealand law, Project Alpha and all content are provided "as is" and "as available" without any warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
10.1 No warranty of accuracy
We do not warrant that Feasibility Reports, property data, scores, cost estimates, comparable sales, infrastructure assessments, or any other output of the App are accurate, complete, current, or suitable for any particular purpose. AI-generated analysis is inherently probabilistic and may be incorrect.
10.2 No warranty of availability
We do not warrant that the App will be available at all times, error-free, or free from interruption. We may suspend or discontinue the App at any time without notice for maintenance, updates, or any other reason.
10.3 Consumer Guarantees Act
Nothing in this Agreement excludes or limits any rights you may have under the Consumer Guarantees Act 1993 (NZ) or the Fair Trading Act 1986 (NZ) that cannot be excluded by contract. If you are acquiring our services for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply.
11. Limitation of Liability
To the maximum extent permitted by law, KNH Group Ltd and its directors, officers, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of Project Alpha, however caused and under any theory of liability.
11.1 Excluded losses
Without limiting the foregoing, we expressly exclude liability for:
- Any financial loss, loss of profit, loss of revenue, or loss of investment arising from reliance on any Feasibility Report or other App output
- Any property transaction entered into in reliance on App-generated analysis
- Loss of data or corruption of data
- Any loss arising from third-party service failure, including payment processors, data providers, or AI model providers
- Any loss arising from the acts or omissions of any Service Provider or Sales Agent connected through the App
- Any loss arising from your failure to obtain independent professional advice
11.2 Cap on liability
To the extent that any liability of KNH Group Ltd cannot be excluded, our total aggregate liability to you for all claims arising under or in connection with this Agreement shall not exceed the total subscription fees paid by you to KNH Group Ltd in the three (3) months preceding the event giving rise to the claim, or NZD $100, whichever is greater.
11.3 Indemnity
You agree to indemnify, defend, and hold harmless KNH Group Ltd and its directors, officers, employees, and agents from and against any claims, losses, damages, costs, and expenses (including legal fees) arising from: (a) your use of the App in breach of this Agreement; (b) your violation of any law or third-party rights; or (c) any content you submit to the App.
12. Termination
12.1 Termination by you
You may close your account at any time by navigating to Profile → Account Settings → Delete Account. Upon closure, your personal data will be handled in accordance with our Privacy Policy.
12.2 Termination by us
We reserve the right to suspend or permanently terminate your account at any time, with or without notice, if:
- You breach any provision of this Agreement
- We are required to do so by law or regulatory authority
- We discontinue the App or any part of it
- We reasonably suspect fraudulent, abusive, or harmful activity on your account
- You fail to pay any subscription fees when due
12.3 Effect of termination
Upon termination, your licence to use the App ceases immediately. You will lose access to all saved reports, chat history, and account data. Subscription fees paid are non-refundable upon termination for breach. Sections 7, 10, 11, 13, and 14 of this Agreement survive termination.
13. Dispute Resolution
13.1 Informal resolution
Before commencing any formal proceedings, you agree to contact us at admin@projectalpha.app and attempt to resolve any dispute informally. We will use reasonable efforts to resolve the matter within 20 working days.
13.2 Mediation
If a dispute cannot be resolved informally, either party may refer the matter to mediation administered by an agreed mediator or, failing agreement, by a mediator appointed by the Arbitrators' and Mediators' Institute of New Zealand (AMINZ). The costs of mediation shall be shared equally unless the mediator determines otherwise.
13.3 Governing law and jurisdiction
This Agreement is governed by the laws of New Zealand. You irrevocably submit to the exclusive jurisdiction of the courts of New Zealand for the resolution of any dispute that cannot be resolved through mediation. If you are located outside New Zealand, local laws may also apply to the extent they cannot be excluded.
14. General Provisions
14.1 Entire agreement
This Agreement (including the Privacy Policy incorporated by reference) constitutes the entire agreement between you and KNH Group Ltd with respect to your use of Project Alpha and supersedes all prior agreements, representations, and understandings.
14.2 Severability
If any provision of this Agreement is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
14.3 No waiver
Our failure to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of KNH Group Ltd.
14.4 Assignment
You may not assign or transfer your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement, in whole or in part, to any successor entity in connection with a merger, acquisition, or sale of assets without your consent.
14.5 Force majeure
KNH Group Ltd shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, power failures, internet outages, or third-party service failures.
14.6 Notices
All notices from you to us must be sent to admin@projectalpha.app or via the in-app contact form. Notices from us to you will be sent to the email address registered on your account or delivered as in-app notifications.
